Acquisition, by the eligible individuals, of series G shares in the Company in exchange for series L subscription warrants

The Management Board of Benefit Systems S.A. with its registered office in Warsaw (hereinafter, the "Company") hereby announces that in exercising of the rights derived from the series L subscription warrants (the "Warrants"), granted as part of the 2021-2025 Incentive Plan (the "Plan"), as at 31 December 2023, 32 participants in the Plan filed, with the Company, declarations to take up a total of 25,000 series G ordinary bearer shares (in exchange for 25,000 Warrants) and paid the issue price of the G shares (i.e. PLN 752.01 per share) into the Company's account.

The acquisition of series G shares in exchange for Warrants was carried out based on article 451 of Commercial Companies Code and resolutions 4/03.02.2021 and 5/03.02.2021 of the Extraordinary General Meeting of the Company that the Company announced in current report No. 8/2021 of 3 February 2021.

The rights attaching to the G series shares of the Company will arise as of the moment of recording the shares in the securities accounts of the eligible individuals. In connection with the issue of the G series shares, the Company will file the appropriate applications with the National Depository for Securities S.A. (Krajowy Depozyt Papierów Wartościowych S.A., hereinafter the "KDPW") and with the Warsaw Stock Exchange S.A. (Giełda Papierów Wartościowych w Warszawie S.A., hereinafter the "GPW") to register the G series shares in the depository for securities operated by the KDPW and introduce them to trading on the regulated market operated by the GPW about which the Company will inform in accordance with the applicable law.
