Changes in the Company's share capital as a result of issuing shares  under conditional share capital increase

The Management Board of Benefit Systems S.A. with its registered seat in Warsaw ("the Company") in reference to the reports no: 80/2025 of 31 December 2025 and 7/2026 of 21 January 2026, hereby informs that in connection with recording 25,300 series G ordinary bearer shares with a nominal value of PLN 1.00 (one zloty) each ("Shares") on the securities accounts of 76 eligible persons ("Eligible Persons") on 23 January 2026 in accordance with Article 451 § 2 of the Commercial Companies Code, the issue of Shares has taken place. The Shares were issued by the Company in connection with the exercise by the Eligible Persons of their rights under series Ł and M subscription warrants granted to those persons under the Incentive Scheme for 2021-2025. Accordingly, after the release of the Shares, the share capital of the Company is PLN 3,301,042 in wording: three million three hundred one thousand forty-two zlotys and is divided into 3,301,042 in wording: three million three hundred one thousand forty-two shares with a nominal value of PLN 1.00 in wording: one zloty each, including:
- 2,204,842 ordinary bearer A series shares;
- 200,000 ordinary bearer B series shares;
- 150,000 ordinary bearer C series shares;
- 120,000 ordinary bearer D series shares;
- 74,700 ordinary bearer E series shares;
- 184,000 ordinary bearer F series shares;
- 87,500 ordinary bearer G series shares;
- 280,000 ordinary bearer H series shares.
The total number of votes resulting from all the issued shares of the Company amounts to 3,301,042 votes.
The amount of conditional increase of share capital after issuance of Shares is currently PLN 37,500 (in wording: thirty-seven thousand five hundred zlotys).
