Notification of reducing stake below 5% of total voting rights at the Company
Legal basis: Article 70 Sec. 1 of the Act on Public Offering – Acquisition or Disposal of a Significant Block of Shares

Text of the report:

The Management Board of Benefit Systems S.A. with its registered seat in Warsaw (the "Company") informs that on 16 December 2025 the Company become aware about receiving from Fundacja Drzewo i Jutro with its registered seat in Warsaw ("Fundacja"), a notification that Fundacja reduced its stake below 5% of the total number of votes in the Company (the "Notification”). 
According to the Notification, the stake was reduced below 5% of total voting rights at the Company following the sale of Company shares on 5 December 2025 (the “Transaction”).
According to the Notification:
•    prior to the Transaction, Fundacja held directly 208,497 Company shares, representing 6.36% of the Company's share capital, and 208,497 voting rights at the General Meeting of the Company, representing 6.36% of total voting rights;
•    following the Transaction, Fundacja holds no Company shares.
