Subject: Appointment of a new member to the Management Board of Benefit Systems S.A.

Legal Basis: Article 56 Sec. 1 Item 2 of the Act on Public Offering – Current and Periodic Information

The Management Board of Benefit Systems S.A. with its registered seat in Warsaw (hereinafter, the “Company”), hereby announces that on the basis of resolution of the Supervisory Board of the Company of 23 July 2018, Mr Wojciech Szwarc, who is responsible for partner relations, was appointed to the Management Board of the Company.

Strengthening Benefit Systems Management Board with a new person will improve effectiveness of the Company’s management. Mr Wojciech Szwarc has been appointed to the Management Board of the Company as a result of internal promotion, as Mr Szwarc has been with the Company for four years now.

Biographical note of the newly appointed Member of the Management Board of the Company:

Wojciech Szwarc

Wojciech Szwarc joined Benefit Systems in 2014. He participated in development of the partnership network of the MultiSport (fitness) card. Until now, Mr Wojciech Szwarc has held the position of the Director of the Partner Relations Department. He has nearly 20 years of business experience in team management and partner cooperation. At Benefit Systems, he is responsible for development of partnership network and for the support programmes of the Company that are addressed to the MultiSport partners.

Mr Wojciech Szwarc is a graduate of Józef Piłsudski University of Physical Education in Warsaw. He also completed executive management programme of the Strategic Leadership Academy and Business Management Executive Program at the ICAN Institute as well as the development programmes conducted by INSEAD (France) and IMD (Switzerland).

In accordance with the declaration submitted by the newly appointed Member of the Management Board, he does not conduct activity that is competitive in relation to the activity performed in the Company's enterprise; he does not participate in a competitive business either as a partner in a civil partnership or limited partnership, or as a member of a company’s body, nor participates in other competitive legal entities as a member of their bodies. The member of the Management Board is not entered in the Register of Insolvent Debtors that is maintained in accordance with the Act on the National Court Register of 20 August 1997 (Journal of Laws [Dz. U.] of 2017, Item 700).

Currently, the Management Board of the Company consists of the following persons: Izabela Walczewska-Schneyder, Emilia Rogalewicz, Adam Radzki, Grzegorz Haftarczyk, Arkadiusz Hanszke, and Wojciech Szwarc.

The Resolution of the Supervisory Board has come into force as of the moment of its adoption. Mr Szwarc has been appointed to the Management Board for the time of the joint term of office of the Management Board which started on 11 June 2017.
