Conclusion of an amendment to the financing agreement with Santander Bank Polska S.A. and European Bank of Reconstruction and Development

The Management Board of Benefit Systems S.A. with its registered office in Warsaw (the "Company", "Issuer") in reference to the report No. 10/2022 dated 8 March 2022 and the report No. 13/2022 dated 1 April 2022 announces that on 8 November 2024 the Company and certain of its subsidiaries, Santander Bank Polska S.A. ("Santander") and the European Bank for Reconstruction and Development (collectively, the "Banks") signed an amendment to the financing agreement (the "Amendment").
The subject of the Amendment is inter alia providing by Santander to the Company additional financing in the amount of PLN 300 million (the “Additional Financing”). Part of the Additional Financing may be provided in euro (maximum EUR 25 million). The Additional Financing is provided for the period of five years and will be secured similarly to the existing financing, as the Issuer informed about in the report No. 13/2022 of April 1, 2022. Utilization of the funds will depend on the fulfilment of conditions precedent.
In the remaining scope, the Amendment contains provisions typical for agreements of this kind.
There are no connections between the Company and the Banks. There are also no connections between the persons managing or supervising the Company and the persons managing or supervising the Banks.
