Decision on amendment to the company's articles of association
Legal basis: Article 56 Sec. 1 Item 2 of the Act on Public Offering – Current and Periodic Information

Text of the report:

The Management Board of Benefit Systems S.A. with its registered seat in Warsaw (the "Company") in reference to the current report no. 42/2023 of 4 September 2023, in which it informed about court decision dated 1 September 2023 issued by the District Court for the Capital City of Warsaw on Warsaw regarding the registration of amendment into the Articles of Association of the Company (the “Registration”) on basis of the Resolution No. 5/10.08.2023 of the extraordinary general meeting of the Company adopted on 10 August 2023, herby makes public a consolidated text of the Articles of Association of the Company adopted by the Supervisory Board of the Company on 18 September 2023.
Following the Registration:
§ 20 Sec. 1 of the Articles of Association of the Company has been amended:
“1. The Supervisory Board shall be composed of five (5) members who shall be appointed and
recalled by the General Meeting.”
by adding new, following wording:
“1. The Supervisory Board shall be composed of six (6) members who shall be appointed and recalled by the General Meeting.”
A consolidated text of the Articles of Association of the Company incorporating the above amendments is attached as appendix hereto.
