Decision on amendment to the Company's Articles of Association
Legal basis: Article 56 Sec. 1 Item 2 of the Act on Public Offering – Current and Periodic Information

Text of the report:

The Management Board of Benefit Systems S.A. with its registered seat in Warsaw (the "Company") hereby announces that the Company received court decision issued by the District Court for the Capital City of Warsaw in Warsaw regarding the registration of the amendment into the Articles of Association of the Company (the "Registration") on basis of the Resolutions No. 4/21.07.2025 and No. 5/21.07.2025 of the Extraordinary General Meeting of the Company adopted on 21 July 2025. 

The Management Board of the Company informed about the adoption of the above mentioned resolutions in current report No. 68/2025 of 21 July 2025. The consolidated text of the Articles of Association of the Company adopted by the Supervisory Board of the Company on 16 January 2026, incorporating the above amendments, is attached hereto.

Following the Registration, §20 Sec. 1 of the Articles of Association of the Company with the following wording:

„The Supervisory Board shall be composed of six (6) members who shall be appointed and recalled by the General Meeting.” 

was amended by adding new, following wording:

„The Supervisory Board shall be composed of five (5) to seven (7) members who shall be appointed and recalled by the General Meeting.”

and §20 Sec. 3 of the Articles of Association of the Company with the following wording

„Members of the Supervisory Board shall be appointed for a joint term of office of five (5) years. The term of office of the Supervisory Board shall coincide with the full financial years.” 

was amended by adding new, following wording:

„Members of the Supervisory Board shall be appointed for a joint term of office of five (5) years. Following the expiry of the term of office, which started on 29 June 2023, the Supervisory Board members shall be appointed for a joint term of office of 4 (four) years. The term of office of the Supervisory Board shall coincide with the full financial years.” 

The Registration was issued by the District Court for the Capital City of Warsaw in Warsaw on 4 August 2025.
