Appointment of the Supervisory Board of Benefit Systems S.A.
Legal basis: Article 56 Sec. 1 Item 2 of the Act on Public Offering – Current and Periodic Information

Text of the report:

The Management Board of Benefit Systems S.A. with its registered seat in Warsaw (the "Company") hereby announces that due to the fact that the current tenure of the members of the Supervisory Board of the Company has elapsed, on 29 June 2023, the Ordinary General Meeting of the Company appointed the following persons to the Supervisory Board of the Company:

- Mr James Van Bergh

- Ms Aniela Anna Hejnowska

- Mr Krzysztof Kaczmarczyk

- Mr Artur Osuchowski

- Mr Michael Sanderson

for a joint five-year tenure that will end on the date of the General Meeting of the Company approving the financial statements for 2027.

According to the statements submitted, the members of the Board Supervisory Board:

- are not engaged in activities competitive to the Company,

- do not participate in a competitive company as partners of a civil partnership, a partnership and a capital company,

- do not participate in another competing legal person as members of its body,

- are not listed in the Register of Insolvent Debtors, maintained on the basis of the Act on the National Court Register of 20 August 1997.

In accordance with the declarations submitted, Ms. Aniela Anna Hejnowska, Mr. Krzysztof Kaczmarczyk and Mr. Artur Osuchowski meet the criteria for independence specified in Article 129, paragraph 3 of the Act of May 11, 2017 on certified auditors, audit firms and public supervision.

Information about the education, qualifications, previously held previous positions and the course of professional work of the members of the Supervisory Board are presented in the appendices to this current report.
