Recall and appointment of Management Board Members for a new joint term of office

Text of the report:

The Management Board of Benefit Systems S.A. with its registered office in Warsaw (the "Company") hereby announces that on 19 May 2021, the Supervisory Board of the Company dismissed effective as of the end of 19 May 2021, all the existing members of the Management Board and, concurrently, effective as of 20 May 2021, appointed the following persons to serve on the Management Board of the Company for the next joint four-year term of office:

1. Ms Emilia Rogalewicz;

2. Mr Bartosz Józefiak;

3. Mr Adam Radzki; and

4. Mr Wojciech Szwarc.

and agreed that the Management Board will continue to be composed of four persons.

The resumes of the members appointed to the Company's Management Board are appended to this report.

In accordance with the representations of the appointed members of the Company's Management Board, they do not conduct activities competitive to the Company, nor do they participate in a competitive company as partners in a civil partnership, a partnership or as members of a [governing] body of a competitive company, and they are not entered in the Register of Insolvent Debtors, which is maintained pursuant to the provisions of Act of 20 August 1997 on the National Court Register (Journal of Laws [Dz. U.] of 2017, item 700).
