Subject: Execution of annexes to the agreements for sale of shares in Zdrofit Sp. z o.o of 30 January 2018

The management of Benefit Systems S.A., with its registered seat in Warsaw (hereinafter, the ‘Issuer’), with reference to current report no. 06/2018 dated 30 January 2018, hereby informs that on 19 February 2018, annexes to the agreements for sale of shares dated 30 January 2018 (hereinafter ‘Annexes’), were signed between Fit Invest sp. z o.o., a subsidiary of the Issuer, with its registered seat in Warsaw (hereinafter ‘Fit Invest’) and Mr. Jakub Raniszewski, Mr. Przemyslaw Szczesny, Mr. Kamil Wroblewski, Ms. Aneta Katarzyna Warsinska, Ms. Monika Bronikowska, Mr. Daniel Tomasz Smajek, and Mr. Rafal Ludwik Klimczewski, all of whom are shareholders in Zdrofit sp. z o.o., with its registered seat in Warsaw (hereinafter the ‘Company’).

According to the Annexes, the payment of the sale price of the shares in the Company will be realized in two installments; the first installment payable by 28 February 2018, the second installment payable by 30 March 2018.
